CHERISLAW (March 2004 – Present)

Representation of multi-owner, closely-held companies regarding formation, governance, operations and exit.  Consulting with not-for-profit entities and foundations re legal, financial and administrative issues.

INTEGRATED ASSET SERVICES LLC (April 2010 – August 2013)

Part-time General Counsel For Integrated Asset Services.  Responsible for drafting all contracts between the company and its clients, contractors and vendors.  Responsible for claims management, insurance and developing operational risk avoidance processes.  Worked with business unit to development “no cost” settlement of patent infringement matter.  Handle trademark issues.  Work on leases of space and equipment as well as tenant improvement construction.


Served as arbitrator for commercial disputes for over 30 years.  Handled cases involving telecom claims, securities claims, company acquisition, joint venture disputes and other financial claims. 

BLACKHAWK GEOSERVICES, INC. (May 2003 – March 2004) Senior Vice President, CFO and General Counsel.

Responsible for law, administration and finance for a geophysical and UXO remediation company.  Cleaned up billing and collection procedures.  Revised accounting system and ability of remote project managers to access their information for cost control and change order management. Helped prepare company for sale.

RELERA, INC. (June 2000- February 2003) Senior Vice President, Secretary and General Counsel.  

Relera was founded in January of 2000 and raised a total of $308 million of equity from 8 banks and venture capital companies.  It built 11 internet data centers (IDCs) around the country and began operating as a managed services provider in April, 2001.  

Responsible for procurement, law, risk management, tax, and business development.  Managed a staff of 15, including one lawyer, two paralegals, one tax accountant, six procurement agents, one Business Development Vice President and 4 administrative personnel.

Finance – Worked with CEO to raise $308 Million in capital for build-out of 11 data centers and establishment of business.

Law - Negotiated and documented in excess of $300 million of equity financing from banks, and venture capital firms, debt facilities in excess of $20 million and real estate leases in 11 jurisdictions.  Negotiated and documented all contractual relationships with strategic partners.

Business Development - Established strategic partner relationships with co-suppliers of goods and services to Relera’s customers.   
Procurement - Managed contracting for all products and services to provision and start-up the 11 IDCs. Had responsibility for expenditures in excess of $250 million.  Directed development of all company forms and overall process of  procurement. Established on-line purchasing system and provisioning for 19 facilities.

Risk Management - Established company’s insurance program including errors and omissions.  Created and managed the contractual risk mitigation and dispute resolution processes and procedures.

Tax - Established entity structure and state and local tax strategy to minimize tax liabilities. 

HALL & EVANS, LLC  (1972 –2000)

Firm Administration - Chief Financial Officer of the firm and member of Executive Committee for 12 years.  Responsible for computerization of the firm’s billing systems, accounting system and secretarial and legal functions. Responsible for purchasing of capital items, negotiation of lease obligations and all of firm’s banking relationships.

Departmental Leadership – Led commercial group, including transactional and commercial litigation practice. Department contained up to 16 lawyers and 6 paralegals. 

Practice - Focus of the practice was in areas of mergers and acquisitions, contract negotiation and documentation, entity organization and reorganization, corporate taxation, ownership and management succession planning, real estate leasing and acting as general counsel for closely-held enterprises.  Formation and operation of not-for profit organizations and foundations.
